1. Introduction<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

  • ActivStudy is located at Technohub 1, Dubai Silicon Oasis, Dubai, UAE.<\/p><\/li>

  • OuiActive is an agent for the introduction of one or more instructors to the Client. OuiActive does not provide tuition services. We are an agency and we are a party to this contract. You are referred to in this contract as \u201cthe Client\u201d, and you are the other party to this contract. You agree to purchase tuition services on behalf of \u201cthe student\u201d. The student may be yourself or another person. The student is the person who receives the tuition service through tutoring sessions. The Client agrees to these terms and conditions which relate to the introduction of a teacher by OuiActive.<\/p><\/li>

  • If you, as a client, request a lesson with a teacher presented by OuiActive, you agree to comply with the terms and conditions below:<\/p><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

    2. Definitions and Interpretation<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t

    Client<\/strong> The party requesting the lesson. Unless otherwise indicated, this is the person who first contacted OuiActive.<\/span><\/p>

    Lesson<\/strong> A period of time during which the teacher undertakes to give a lesson to the client, for which the client promises to pay the teacher.<\/span><\/p>

    Courses<\/strong> Any service provided by a teacher that was requested by the client. Tuition fee: Amount charged for a course during a lesson.<\/span>
    Professor<\/strong> The party offering the course for which payment is expected in return.<\/span><\/p>

    Contractual relationship<\/span><\/span><\/p><\/h2>\t\t\t\t<\/div>\n\t\t\t\t

    OuiActive connects tutors with clients and vice versa, acting as an agent for the tutor. It also collects the client's fees on behalf of the instructor, as well as its own administration and introduction commission fees. The hourly rate for the lesson includes both the trainer's fee and OuiActive's fee.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

    \n\t\t\t\t\t

    4. Agreement with the Instructor for the provision of courses services<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t
    • A teacher will be considered to have been introduced to the client by OuiActive in the event that the teacher's name is provided to the client by OuiActive following a request for a teacher by the client, or OuiActive arranges for a teacher to contact the client following a request for a teacher provided by the client to OuiActive.<\/li>
    • By booking a session with a tutor, the client agrees to be bound by these terms and conditions and by the conditions governing their relationship with the tutor.<\/li>
    • The teacher is a self-employed worker engaged by the client to provide lessons to the student. Clients must be aware that the teacher has no authority to bind OuiActive in any way.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t

      5. Payment<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t

      Taxes and charges<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\t
      • The \u201cMonthly Plan\u201d or \u201cRecurring Payment\u201d refers to the monthly price of the ActivStudy course corresponding to the course option purchased (weekly support, excellence), and is determined by the type of course and the duration of the course at the time of enrolment.<\/li>
      • Monthly tuition fees or the monthly plan are due each month in full, in advance, and with the exception of cancellations under the conditions detailed below, no partial refunds of monthly tuition fees will be made, unless you cancel under the cooling-off rules detailed below.<\/li>
      • The first monthly plan is collected by us, by debit or credit card, at the time of purchase, at the same time as you start your lesson.<\/li>
      • Your second monthly payment will be taken one month after your registration, unless you registered before the start of classes, in which case it will be taken one month after the start of classes. Subsequent monthly payments for monthly course fees will be taken on a monthly basis thereafter.<\/li>
      • If, despite our notification of a payment default, further payments are not made, we reserve the right, at our sole discretion, to suspend or terminate your course. If you are more than 30 days overdue on a monthly payment and are taking a fixed-term course, we reserve the right to bill you immediately after the 30-day grace period for the remaining value of the contract, without prior notification.<\/li>
      • You are required to complete the minimum number of monthly packages indicated in your course selection. You are required to make all recurring payments, even if you are not present, unless the cancellation conditions below are met.<\/li>
      • The date of your monthly plan is probably the first of each month.<\/li>
      • Once you have completed the minimum number of monthly plans indicated in your course selection, we will automatically continue to collect monthly plans each month. Your course will be extended by one month for each payment (\u201crenewal period\u201d).<\/li>
      • If you have honoured your commitment to the course you enrolled on, you can stop the auto-renewal period at any time by visiting the ActivStudy reception and submitting a cancellation request. (A minimum of 30 days' notice is required).<\/li>
      • You agree to notify us immediately of any changes to the member details provided.<\/li>
      • All credit\/debit card details and personally identifiable information will NOT be stored, sold, shared, rented, or leased to any third parties.<\/li>
      • ActivStudy will not pass credit\/debit card details to third parties.<\/li>
      • ActivStudy takes appropriate measures to ensure data confidentiality and security, including through various hardware and software methodologies. However, (ActivStudy) cannot guarantee the security of information disclosed online.<\/li>
      • ActivStudy is not responsible for the privacy policies of websites to which it provides links. If you provide information to these third parties, different rules regarding the collection and use of your personal information may apply. You should contact these entities directly if you have any questions about their use of the information they collect.<\/li>
      • The website's policies and terms and conditions may be modified or updated occasionally to meet requirements and standards. Customers are therefore encouraged to visit these sections frequently to stay informed about any changes made to the website. The modifications will take effect on the day they are published.<\/li>
      • From time to time, we may need to increase the price of your course. We will notify you at least one month in advance of any price increase and we will clearly state when the price increase will take effect and how much your course will cost after the increase. During this period, you will have the usual right to terminate your training in accordance with the training terms and conditions and regulations.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t\t

        payment methods<\/span><\/h2><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\t
        • We accept payments by Visa or Mastercard debit and credit cards in AED for our courses and other products and services. All online purchases are also governed by the terms and conditions of the respective merchant service providers. Please review the relevant merchant service provider's user agreement and privacy policy before making a transaction.<\/li>
        • If a member is advised that their payment method for the classes is to be cancelled and is not adequately replaced before the completion of a contract, all remaining fees will become payable and will be invoiced immediately.<\/li>
        • A payment confirmation will be sent by email to the address you provided at the time of registration within 48 hours of your payment being processed.<\/li>
        • As the cardholder, you must retain a copy of transaction records and merchant policies and rules.<\/li>
        • You are responsible for the confidentiality of your course account and your payment details.<\/li>
        • Once a payment card has been replaced by a new one, we will only debit the new card. However, if an account remains unpaid for a period of 30 days or more, we reserve the right to debit any previous payment card on the account, or any linked account, at our sole discretion, in order to recover funds.<\/li>
        • You have 14 full days to cancel your course and obtain a full refund.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t

          7. Reimbursement \u2013 first lesson<\/span><\/h2><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          If at the end of the first lesson (and only the first lesson), the customer is not satisfied with the instructor, OuiActive will refund the price of the lesson and offer the customer another instructor according to the following procedure.<\/span><\/p>

          The Client must send an email to OuiActive within 48 hours of the first lesson and indicate the reasons for their dissatisfaction.<\/span><\/p>

          After the 48-hour period has passed, OuiActive will not refund the Client and will not offer the services of another teacher.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          8. Replacements and termination<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t
          • If the Instructor is unable to complete the Course, or the Client requests a replacement Instructor because they are not satisfied with the original Instructor assigned to them, OuiActive will endeavour to find up to two suitable replacement Instructors with regard to the level and subject for which the course is required.<\/li>
          • If OuiActive is unable to find such a suitable replacement Instructor within a reasonable time to complete the remaining Sessions of the Course, OuiActive will refund a portion of the fees pre-paid by the Client representing the number of sessions that the Instructor or any replacement Instructor has been unable to complete.<\/li>
          • If the replacement Instructors meet OuiActive\u2019s criteria for suitability for the job in terms of subject and level knowledge and are available at the same time or another time convenient for the Client, then OuiActive has fulfilled its obligations; if the Client then wishes to terminate the mid-Course,<\/li>
          • If the Client wishes to terminate the mid-Course for any reason, no refunds can be granted for the balance of sessions that have been taught; furthermore, one week\u2019s notice must be provided. In that week the Client may choose to utilise the Session or Sessions that were planned to occur during that week, or not, but will not be refunded if the Client chooses not to utilise the Session or Sessions during that week. OuiActive will refund all monies prepaid excluding fees for the sessions that have already been taught and those fees for the week following the notification of Termination.<\/li>
          • If the instructor is unable to complete the course, or if the client requests a replacement instructor because they are not satisfied with the initial instructor assigned to them, OuiActive will endeavour to find up to two suitable replacement instructors with regard to the level and subject for which the course is required.<\/li>
          • If OuiActive is unable to find a replacement instructor within a reasonable timeframe to complete the remaining sessions of the course, OuiActive will refund a portion of the fees prepaid by the client representing the number of sessions that the instructor or replacement instructor was unable to complete.<\/li>
          • If the replacement instructor meets OuiActive's criteria in terms of subject knowledge and level and is available at the same time or at another time suitable to the Client, OuiActive has fulfilled its obligations; if the Client then wishes to terminate the training midway through<\/li>
          • If the client wishes to terminate the course midway for any reason, no refund can be granted for the balance of the sessions that have been taught; furthermore, one week's notice must be provided. During this week, the Client may choose whether or not to use the scheduled session(s) during that week, but they will not be refunded if they choose not to use the session(s) during that week. OuiActive will refund all sums paid in advance, except for the fees for the sessions that have already been taught and the fees for the week following the notification of termination.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
            \n\t\t\t\t\t

            9. Prohibition of other arrangements<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
            \n\t\t\t\t\t\t\t\t\t
            • The client will not agree to alternative fees with the instructor and agrees not to make any direct payments to the instructor.<\/li>
            • The client is not authorised to make private agreements with an instructor introduced by OuiActive. The Client undertakes to make all bookings with instructors introduced by OuiActive exclusively through OuiActive.<\/li>
            • In the event of a breach of these terms, the client shall be required to account to OuiActive for all sums received by the instructor directly from the client or a new client, without deduction, and OuiActive shall be entitled to seek injunctions against the client to prevent any further breach. These obligations shall survive the termination or conclusion of this agreement.<\/li>
            • If you wish to recommend one of OuiActive's instructors to another potential or existing client, this client must contact OuiActive to make a booking through the agency\u00a0<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
              \n\t\t\t\t\t

              10. Privacy policy<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t
              \n\t\t\t\t\t\t\t\t\t
              • a.<\/strong> All credit\/debit card details and personally identifiable information will NOT be stored, sold, shared, rented, or leased to any third parties.<\/li>
              • b.<\/strong> The website's policies and terms and conditions may be changed or updated occasionally to meet requirements and standards. Customers are therefore encouraged to frequently visit these sections in order to stay informed about changes to the website. The modifications will take effect on the day they are published.<\/li>
              • c.<\/strong> Some of the adverts you see on the website are selected and served by third parties, such as advertising networks, advertising agencies, advertisers and audience segment providers. These third parties may collect information about you and your online activities, either on the website or on other websites, using cookies, web beacons and other technologies, in order to understand your interests and provide you with adverts tailored to your interests. Please note that we do not have access to, nor do we control, the information that these third parties may collect. The information practices of these third parties are not covered by this privacy policy.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                11. Disputes<\/h4><\/h2>\t\t\t\t<\/div>\n\t\t\t\t

                a.<\/strong> Any dispute or claim arising out of or in connection with this website shall be governed by and construed in accordance with the laws of the United Arab Emirates.<\/span><\/p>

                b.<\/strong> The United Arab Emirates is our country of residence.<\/span><\/p>

                c.<\/strong> Minors under the age of 18 are not permitted to register as users of this website and are not authorised to conduct transactions or use the website.<\/span><\/p>

                d.<\/strong> If you make a payment for our products or services on our website, the details you are asked to submit will be provided directly to our payment provider via a secure connection.<\/span><\/p>

                e.<\/strong> The cardholder must retain a copy of transaction records and merchant policies and rules.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                \u2013 OuiActive will not deal with or provide any services or products to any of the countries targeted by OFAC (Office of Foreign Assets Control) sanctions, in compliance with UAE law.<\/span><\/p>

                \u2013 Multiple dispatches\/deliveries may result in multiple entries on the cardholder's monthly statement.<\/span><\/p>

                b. Refunds and cancellation<\/span><\/strong><\/p>
